Summary

An elite law firm is seeking a Senior Corporate Paralegal to provide sophisticated legal support in connection with general corporate maintenance and complex transactions for both private and public company clients.


The Senior Corporate Paralegal will have the technical skills and professional maturity to operate independently with minimal attorney guidance and will handle substantive responsibilities in support of the firm's corporate practice.


Responsibilities

  • Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
  • Coordinate transactional closings and prepare related documentation.
  • Assist with legal opinions and assemble supporting documentation.
  • Draft and file corporate and securities filings.
  • Organize corporate records and conduct due diligence reviews.
  • Prepare stock certificates and maintain capitalization tables and option records.
  • Research Blue Sky requirements and prepare applicable filings.
  • Train and provide guidance to case assistants and junior paralegals.
  • Handle additional corporate and transactional matters as needed.


Qualifications

  • Bachelor's degree required.
  • 5+ years of transactional paralegal experience, with experience in Private Equity, Capital Markets, and M&A preferred.
  • Ability to work independently on sophisticated corporate matters with limited supervision.
  • Availability to work overtime as required.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and ability to manage multiple priorities and complex matters simultaneously.
  • Ability to establish effective working relationships with attorneys, staff, and other professionals.
  • Demonstrated discretion in handling confidential and sensitive information.
  • Proficiency with Microsoft Office; advanced Excel skills preferred.
  • Familiarity with Carta, Shareworks, or similar web-based equity/capitalization management systems preferred.


Compensation

The expected annual base salary range for this position is $125,000–$175,000, plus overtime and bonus. Final compensation will depend on factors including geographic location, relevant experience, and the candidate's skill set.
