Corporate Legal Counsel

Our client, a leading commercial finance company located in Itasca, IL is seeking a talented Corporate Counsel with 5+ years of experience to join their in-house legal team. Experience with UCC laws, commercial contracts, commercial finance, regulatory requirements, and transaction support is required.

Responsibilities

• Draft, review, and negotiate commercial finance contracts, loan agreements, leases, capital markets agreements, and vendor agreements
• Advise on supplier management, third-party risk, and contract disputes
• Participate in department operations, including the use of legal technology, appropriate AI tools, and template management
• Support compliance initiatives, audits, policies, and regulatory reviews
• Monitor federal and state legal regulatory developments impacting lending, leasing, consumer protection, and data privacy
• Assist compliance team with day-to-day compliance matters including interpreting regulatory requirements, conducting internal reviews and audits, responding to compliance inquiries, and assisting with developing and implementing compliance policies and procedures
• Partner with business stakeholders to identify and mitigate legal and operational risks related to equipment leasing, lending, and financing arrangements
• Manage outside counsel and support transactional matters
• Contribute to legal operations, process improvements, and technology initiatives

Compensation & Benefits

• Base salary: $150,000 - $185,000+
• Bonus: discretionary annual bonus - 20%
