In-House Counsel/ Senior Counsel

I am partnering with an established and growing renewable energy owner and operator to hire a Counsel/ Senior Counsel to join their legal team. The business is an established national renewable energy platform with a significant portfolio of operating and development-stage assets across the U.S. They have a strong foundation across solar and storage distributed energy and continued expansion across adjacent clean energy infrastructure.

This individual will sit within a lean, highly integrated legal team and work directly with stakeholders across development, finance, origination, operations and asset management. The position is ideal for an attorney who enjoys being close to the commercial side of the business and wants broad ownership rather than operating within a narrow legal specialty.

This is a particularly strong opportunity for someone who wants to become a well-rounded renewable energy attorney rather than specialize in one narrow area.

The successful candidate will have transaction ownership while working closely with experienced senior legal leadership.

The platform's scale and national footprint provide exposure to a diverse range of renewable energy projects, contractual structures and stakeholders.

Responsibilities:

• Draft, review and negotiate a broad range of renewable energy and commercial agreements, including:

- Power Purchase Agreements (PPAs)

- EPC agreements

- Development agreements

- Asset management agreements

- Other project and corporate commercial contracts

• Provide practical day-to-day legal guidance to development and commercial teams.
• Partner closely with finance, operations, origination and asset management stakeholders.
• Advise on legal and commercial risks throughout the project lifecycle.
• Support broader corporate and compliance matters as required.
• Manage transactions and contractual negotiations with a high degree of independence.

Background:

• Approximately 5+ years of legal experience, with flexibility depending on the depth of relevant experience.
• Commercial contracting experience within the renewable energy or broader power sector.
• Experience supporting solar, energy storage or distributed energy projects is desirable.
• Experience negotiating PPAs, EPC agreements and/or development-related contracts.
• Prior experience working in-house with an IPP, developer, owner/operator or similar energy platform is preferred.
• Comfortable working directly with commercial teams and senior business stakeholders.
• Able to independently manage multiple transactions and priorities in a fast-moving environment.
