JOB DESCRIPTION:

TDK USA is seeking a seasoned attorney with significant experience in providing legal counsel in key areas of corporate transactions, M&A, contract review, corporate compliance, and litigation oversight. The TDK USA Law Department is the in-house legal function providing counsel for TDK USA and our TDK USA subsidiaries and affiliate companies, and collaborates with the TDK legal department headquartered in Japan, as well as the legal departments of affiliates globally. TDK USA’s Senior Corporate Counsel must have the capability to work across various functions and departments within TDK USA and the other TDK U.S. companies, and with colleagues in Japan and around the world to address legal issues that arise in the day-to-day functioning of the corporation or its affiliates or in connection with special projects.

RESPONSIBILITIES:

• Legal counseling: Provide legal counsel to TDK USA and our subsidiaries and global affiliates on day-to-day legal matters to help advance the companies’ business objectives
• Corporate transactions: Prepare, analyze, advise, and negotiate contracts and other transactions on behalf of TDK USA and TDK US affiliates, including purchase and sale of goods, IP development and licenses, sales representatives and distribution, independent contractors, nondisclosure, letters of credit, employment related, real estate transactions, and government subcontracts
• M&A: Participate with other law department members in M&A transactions, including due diligence, drafting of definitive and merger agreements, regulatory filings (such as CFIUS & HSR), and other legal-related aspects of M&A transactions
• Global legal concerns: Collaborate with TDK headquarter and other legal departments worldwide regarding global legal concerns, including international agreements, intercompany matters, and advise on matters involving U.S. law
• Corporate Governance: Provide the corporate governance and secretarial function for TDK USA and our TDK US subsidiaries and affiliates
• Litigation oversight: Provide litigation oversight and coordination with in-house and/or outside counsel for TDK USA and our affiliates, including case handling strategy, legal analysis and supervision of discovery
• Corporate compliance: Assist in carrying out global and regional compliance and legal policy initiatives, including antitrust, antibribery & anticorruption, environmental, quality, sustainability, and cybersecurity
• Trade compliance: Assist TDK USA and affiliates to comply with legal aspects of trade regulation, including exports, imports and sanctions
• Legal training: Provide training to TDK USA and our affiliates on corporate transactions, corporate governance, legal compliance and other legal matters

REQUIREMENTS:

• JD from a nationally recognized law school
• Admission to New York State Bar
• Eight plus years of relevant legal experience
• Knowledge and experience with AI legal compliance and AI legal technology systems a plus
• Knowledge and experience with contract management platforms (such as Ironclad) a plus
• Some domestic and international travel may be required

COMPENSATION & BENEFITS:

TDK U.S.A. offers a competitive salary and a comprehensive benefits package including medical, dental, 401(k), pension, life insurance, vacation, tuition reimbursement, work from home stipend, and 13 paid holidays.

The starting annual base pay for this role is between $175,000 and $210,000 USD. The actual base is dependent upon many factors, such as training, transferable skills, job-related knowledge, work experience, business needs, market demands. The base pay range is subject to change and may be modified in the future.
