Senior Project Finance Attorney (Renewable Energy Platform)

The Opportunity

Our client is seeking an exceptional Project Finance Attorney to join one of the fastest-growing distributed generation renewable energy platforms in North America.

Reporting into senior legal leadership, this individual will play a critical role in leading the legal execution of the company's capital markets strategy, supporting sophisticated financing transactions across a rapidly expanding portfolio of solar and battery energy storage assets.

This is a highly commercial role offering broad exposure across project finance, tax equity, structured finance and corporate financing transactions, while partnering closely with Capital Markets, Development, Finance and Executive Leadership to help drive the company's continued growth.

Key Responsibilities

Capital Markets & Financing Transactions

• Lead the negotiation, structuring and execution of a broad range of financing transactions across the business, including: tax equity financings, tax credit transfer agreements, construction debt, working capital facilities, term loans, private placements, securitizations and credit support facilities.
• Provide commercially focused legal advice throughout the transaction lifecycle, from structuring through financial close.
• Support innovative financing solutions that optimise capital deployment across the portfolio.

Strategic Legal Advisory

• Advise senior leadership on financing strategy, regulatory developments and evolving market dynamics.
• Provide legal guidance on matters including: FEOC requirements, Inflation Reduction Act (IRA) considerations, tax credit safe harbour strategies, financing eligibility and underwriting requirements.
• Develop practical legal solutions that balance commercial objectives with appropriate risk management.

Cross-Functional Partnership

• Act as the primary legal partner to the Capital Markets, Development, Finance and Investment teams.
• Ensure projects remain financeable throughout the development, construction and financing lifecycle.
• Collaborate with internal stakeholders and external counsel to efficiently execute complex transactions.

Process Development & Governance

• Develop and continuously improve financing processes, legal standards and transaction documentation.
• Oversee financing compliance and project tranche management across multiple financing structures.
• Support corporate governance matters, including management of the corporate secretarial function where required.

Leadership

• Lead, mentor and develop members of the legal team.
• Foster collaboration across legal, commercial and operational functions.
• Build scalable legal processes to support their continued growth.

Candidate Profile

The successful candidate is likely to possess:

• Juris Doctor (JD) or LL.B and admission to practice in at least one U.S. jurisdiction.
• 7+ years of legal experience gained within a leading law firm or in-house legal team.
• At least four years of experience supporting renewable energy project finance or infrastructure financing transactions.
• Extensive experience negotiating sophisticated financing documentation across tax equity, project finance, debt capital markets or structured finance.
• Strong commercial judgement with the ability to deliver practical, business-focused legal advice.
• Experience working closely with executive leadership, lenders, investors and external counsel.
• Proven ability to manage multiple complex transactions simultaneously within a fast-paced environment.
