The Opportunity
Our client is one of North America's leading renewable energy platforms, developing, financing, constructing and operating utility-scale solar, battery energy storage and renewable infrastructure projects across the United States.
As the business continues its rapid growth, they are seeking an experienced Project Finance Attorney to join their in-house legal team. You will play a critical role in structuring, negotiating and executing sophisticated financing transactions that support one of the industry's largest renewable energy portfolios. This is an exceptional opportunity to work on market-leading transactions while partnering with some of the industry's largest banks, tax equity investors, infrastructure funds and strategic capital providers.
Key Responsibilities
Project Finance & Capital Markets
- Lead the legal structuring, negotiation and execution of complex project finance transactions across utility-scale solar, battery energy storage and renewable infrastructure assets.
- Advise on a broad range of financing structures, including:
- Construction debt
- Term debt
- Back leverage facilities
- Warehouse facilities
- Revolving credit facilities
- Tax equity financings
- Tax credit transfer agreements
- Preferred equity investments
- HoldCo and mezzanine financings
- Support transactions from initial structuring through financial close and funding.
Transaction Execution
- Draft, review and negotiate financing documentation alongside lenders, investors and external counsel.
- Coordinate legal due diligence across financing transactions.
- Manage transaction timelines and legal workstreams to ensure successful execution.
- Work closely with internal and external stakeholders to deliver efficient transaction closings.
Cross-Functional Partnership
- Partner with Capital Markets, Development, Commercial, Finance, Tax and Executive Leadership teams.
- Provide commercially focused legal advice throughout the development and financing lifecycle.
- Ensure projects remain financeable while balancing legal risk and commercial objectives.
- Support acquisitions, divestitures and strategic investment opportunities where financing considerations are involved.
Commercial & Strategic Advisory
- Advise on emerging market developments impacting renewable energy finance, including:
- Inflation Reduction Act (IRA)
- Tax credit monetisation and transferability
- FEOC requirements
- Safe harbour strategies
- Financing eligibility
- Develop practical legal solutions that facilitate efficient capital deployment.
Risk Management & Governance
- Identify and mitigate legal risks across financing transactions.
- Develop and maintain legal precedents and transaction processes.
- Manage relationships with external counsel and financing counterparties.
- Support internal governance processes and financing compliance requirements.
Candidate Profile
The successful candidate is likely to possess:
- Juris Doctor (JD) from an accredited law school.
- Active membership in at least one U.S. State Bar.
- Approximately 4+ years of legal experience gained within a leading law firm or renewable energy platform.
- Significant experience supporting renewable energy or infrastructure project finance transactions.
- Strong drafting and negotiation experience across sophisticated financing documentation.
- Excellent commercial judgement and the ability to provide practical, business-oriented legal advice.
- Outstanding communication and stakeholder management skills.
