Summary📒:
A prominent Sacramento-based full-service practice is seeking a Healthcare Transactions Associate Attorney possessing 1–4 years of healthcare regulatory, compliance, or transactional experience to join their Healthcare Practice Group. The successful candidate will work closely with experienced healthcare attorneys, advising healthcare providers and healthcare businesses on a broad range of regulatory, operational, and transactional matters. This role offers meaningful responsibility and hands-on experience supporting partners with counseling clients through complex healthcare compliance issues, provider enrollment and licensing, strategic transactions, and day-to-day business matters.
The Firm's Healthcare Practice Group represents regional hospital systems, ambulatory surgery centers, medical foundations, healthcare management companies, physicians and physician groups, behavioral health providers, durable medical equipment suppliers, and other healthcare and healthcare-aligned organizations throughout California. With decades of experience and deep industry knowledge, the team frequently serves as outside general counsel to startups, established healthcare organizations, and public and private consolidators of healthcare providers. The practice is recognized for its comprehensive counsel on healthcare regulatory compliance, Medicare and Medi-Cal provider enrollment, facility licensing, corporate governance, operational matters, and healthcare mergers and acquisitions.
Key Responsibilities🗝:
- Advise healthcare providers and healthcare businesses on federal and California healthcare laws and regulations, including provider licensing, Medicare and Medi-Cal enrollment, reimbursement, corporate practice of medicine, Cost and Market Impact Review requirements, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, and other healthcare compliance matters
- Conduct legal research and prepare memoranda, client correspondence, and practical legal analyses on complex healthcare regulatory issues
- Assist with healthcare mergers, acquisitions, affiliations, restructurings, and other strategic transactions, including regulatory due diligence, change-of-ownership (CHOW) matters, and post-closing implementation
- Draft, review, and negotiate a variety of healthcare and corporate agreements, including management services agreements, professional services agreements, physician employment agreements, medical director agreements, purchase agreements, operating agreements, and other commercial contracts
- Advise clients on corporate governance, entity formation, organizational structure, and day-to-day operational matters
- Conduct legal due diligence, including reviewing contracts, licenses, regulatory filings, and corporate records in connection with healthcare and corporate transactions
- Prepare corporate documents, including organizational documents, board and member resolutions, and transaction-related documents
- Communicate and coordinate with clients, government agencies, opposing counsel, consultants, and other advisors to advance client matters efficiently and effectively
- Manage multiple matters simultaneously while providing responsive, practical, and business-oriented legal counsel
- Contribute to business development initiatives, client alerts, presentations, and other practice group activities
Qualifications💡:
- Juris Doctor (J.D.) from an accredited law school
- Active membership in good standing with the California State Bar
- 1–4 years of experience in a healthcare regulatory or corporate transactional practice
- Experience advising clients on healthcare regulatory matters, including one or more of the following: provider licensing, enrollment, reimbursement, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, or general healthcare compliance is preferred
- Excellent legal research, analytical, writing, drafting, and communication skills
Annual Salary💵/Comp.💰 & Benefits:
