Commercial Finance Counsel

A leading commercial finance organization is seeking a Legal Counsel to support equipment finance, lending, leasing, and commercial transactions across its North American operations. This role serves as a strategic business partner, providing practical legal guidance on complex financing transactions, regulatory compliance, supplier management, and risk mitigation.

Key Responsibilities

• Draft, review, and negotiate equipment finance, loan, lease, capital markets, vendor program, and other commercial agreements.
• Advise business teams on transaction structuring, legal risk, and commercial objectives.
• Monitor and interpret federal and state regulatory developments affecting commercial lending, leasing, consumer protection, and data privacy.
• Support supplier management and third-party risk initiatives, including contract negotiations and dispute resolution.
• Partner with Compliance, Risk, Credit, Operations, and Sales teams to address legal and regulatory matters.
• Assist with investigations, litigation management, and outside counsel oversight.
• Contribute to legal department operations, including contract templates, legal technology, AI tools, and process improvement initiatives.

Qualifications

• J.D. and active Illinois bar license (or ability to obtain in-house counsel registration).
• 5+ years of experience in commercial finance, equipment leasing, secured lending, or related transactional practice.
• Strong knowledge of commercial contracts, UCC Articles 2A and 9, equipment finance, lending, and leasing transactions.
• Experience advising on regulatory and compliance matters, including data privacy and financial services regulations.
• Excellent drafting, negotiation, analytical, and business counseling skills.
• Ability to balance legal risk with business objectives in a fast-paced environment.
