The Role

The successful attorney will support and lead matters involving:

• Venture financings and private offerings for companies and investors

• Core financing agreements and ancillary transaction documents

• Due diligence, disclosure schedules, checklists and closings

• Formation, capitalisation and corporate governance advice

• Board, stockholder and other corporate approvals

• Coordination with tax, employment, benefits, IP and regulatory teams

• Secondary sales, tender offers, M&A and other liquidity events

• Concurrent transactions, deadlines and client communications

• Client development, junior team support and practice growth

The role offers direct partner collaboration, increasing responsibility and substantial client exposure.

Ideal Candidate Profile

The firm is seeking a Technology Companies Managing Associate with:

• Four to six years of transactional experience at a major law firm

• Experience with private offerings, venture capital and emerging companies

• Excellent academic credentials and outstanding communication skills

• Experience drafting and negotiating core venture financing documents

• Strong transaction management, commercial judgement and client-service skills

• A J.D. from aT50 or better law school

• Admission to the California Bar and good standing

• Experience within a sophisticated major or peer law-firm platform

A genuine passion for high-growth technology businesses is preferred.

Compensation and Benefits

The anticipated base salary range is $310,000-$390,000, depending on class year, experience, qualifications, skills and other relevant factors.
